Steps to Register a Micro Finance Company as an NBFC:
- Company Incorporation – First, register your business as a Private Limited or Public Limited Company, based on your business model.
- Ensure Minimum Capital – You must have at least ₹5 crores in Net Owned Funds (NOF). For companies in the North Eastern states, the minimum is ₹2 crores.
- Deposit Capital in Bank – Deposit this capital in a fixed deposit under the company’s name at a scheduled bank. Then, collect a No Lien Certificate from the bank as proof.
- Apply for RBI License
• Download the license form from the RBI website.
• Fill it out manually, scan it, and upload it with supporting documents online.
• After online submission, you’ll get a reference number.
• Along with documents, submit the hard copy of your application and the reference number to the Regional RBI Office.
• The application is first reviewed by the regional office and then forwarded to the RBI’s Central Office for final approval.
Steps to Register a Micro Finance Company as a Section 8 Company:
- Get DSC for Directors – Apply for Digital Signature Certificates (DSC) for the proposed directors to file online forms.
- Name Reservation – Choose a unique company name and apply for approval through the RUN (Reserve Unique Name) form on the MCA portal.
- Draft MoA & AoA – Prepare the Memorandum of Association (MoA) and Articles of Association (AoA) with a financial/social objective.
- Filing with RoC – Submit the application using SPICe+ (INC-32) along with the MoA, AoA, and KYC documents to the Registrar of Companies (RoC).
- Once approved, you will receive the Certificate of Incorporation, officially confirming that your company is legally registered and recognized.
- PAN and TAN – Along with the certificate, you will also receive the PAN and TAN of the company.
Documents Required for NBFC Micro Finance Company Registration in Rajasthan
• To register your Micro Finance Company as an NBFC, you’ll need the following documents:
• Certificate of Incorporation, along with the MoA and AoA of your company
• Auditor’s certificate showing the Net Owned Fund (NOF)
• No Lien Certificate from your bank (for the fixed deposit)
• KYC of all directors with passport-size photos, education documents, and proof of relevant experience in the financial sector
• Bank report about your company’s credibility
• CIBIL credit report, income proof, and CA-certified Net Worth Certificate of the organization
• Detailed organization structure plan
Documents Required for Section 8 Micro Finance Company Registration in Rajasthan
To register your Micro Finance Company as a Section 8 Company (Non-Profit Organization), you’ll need the following documents:
1. Identity Proof of Directors
• PAN Card (mandatory)
• Aadhaar Card / Passport / Voter ID / Driving License
2. Address Proof of Directors
• Aadhaar Card / Utility Bill / Bank Statement (not older than 2 months)
3. Passport-Size Photographs
• Recent colored photos of all proposed directors
4. Director Identification Number (DIN)

5. Digital Signature Certificate (DSC)
