Change to a Different City Within the Same State: When the registered office is being shifted to a different city or town within the same state but under a different ROC, the company must pass a special resolution and notify the shareholders. Additionally, an NOC (No Objection Certificate) from the landlord of the new address must be obtained and submitted to the ROC along with the required forms.

Change to a Different State: If the company decides to shift its registered office to another state, the procedure becomes more complex. This interstate change requires the approval of shareholders through a special resolution and involves applying for the change through the Company Law Board (CLB). The company must also advertise the proposed change in newspapers and ensure that the relocation does not lead to employee retrenchment. The application for changing the registered office must then be filed with the MCA, and upon approval, the change is updated in the company’s Memorandum of Association (MOA).
